Community Content Guidelines

Guiding Principle

Share your views and experiences, but do not recommend or urge others to invest.

Simple Rule: Share your perspective, but don’t tell others what they should do with their money.

Community features are intended for open discussion - not for promoting or influencing investment decisions or soliciting investment in any company or opportunity.

Scope of These Guidelines

These Guidelines apply to user-generated content across community features of the platform, including the Feed, Updates, Q&A sections, user profile interactions, and other shared or interactive areas.

Content in these areas may include both user-generated content and communications from issuers. Communications from issuers are identifiable by the issuer as the author and constitute official issuer communications subject to applicable securities regulations. All other content is user-generated and subject to these Guidelines.

User-generated content includes, without limitation:

  • Posts and comments in the Feed
  • Questions and answers in Q&A sections
  • Questions posed to other users and responses displayed on user profiles
  • Community posts appearing in the Updates section
  • Content displayed on user profiles
  • Other user-submitted content appearing in shared or interactive areas of the platform

1. Purpose of Community Features

Community features provide spaces for discussion among verified users of the BioTech Funding Portal platform.

These areas are not part of the platform’s official communication channels for securities offerings, except where issuer communications are explicitly provided through designated issuer tools or official offering page channels.

Investment opportunities may only be presented through official issuer offerings on the platform. Community features may not be used to introduce, promote, or solicit investment in any company or opportunity.

Content in community features is provided for general informational and discussion purposes only and must not be relied upon for making investment decisions. Any investment decision must be based solely on information available on an issuer’s offering page, including required disclosures.

Community content reflects the views of individual users and does not represent the views of BioTech Funding Portal LLC.

2. Eligibility to Participate

Only users who have completed required account verifications may post content within community features.

Anonymous or minimally registered accounts may not post.

Users may not share, transfer, or permit others to use their accounts.

3. Expected Tone and Conduct

Users are expected to participate in a professional, respectful, and lawful manner.

Constructive discussion and differing opinions are welcome. However, harassment, abusive language, personal attacks, threats, or disruptive behavior are not permitted.

Community features are intended for constructive discussion and lawful use of the platform.

4. Permitted Content

Users may post:

  • General discussion related to biotechnology, science, investing education, or platform features
  • Personal views, opinions, or experiences, including why they chose to invest or support a company, provided such content does not recommend or urge others to invest
  • Questions directed to other users and responses to such questions
  • General investor education content, such as investing concepts, terminology, or risks, provided such content is not used to promote or highlight a specific offering
  • Questions or commentary relevant to the community

General discussion about building or operating a business is permitted, provided it does not reference, promote, or lead to seeking investment or investor interest.

Use of Third-Party Research, Ratings, and Data

Users may share third-party research, ratings, analytical content, market intelligence, or data from independent providers for informational purposes.

Such content must be presented in a neutral, informational manner and may not be used to recommend, promote, or encourage investment in any offering.

Examples

Allowed:

  • “A third-party provider rated this company 4.2 - interesting analysis.”
  • “Here is a third-party review of this company’s business model.”
  • “This data provider shows the issuer’s filing history and campaign metrics.”

Not Allowed:

  • “This third-party rating means you should invest.”
  • “This is a top-rated deal - don’t miss it.”
  • “One of the highest-rated opportunities I’ve seen - looks like a winner.”

In general, sharing information is permitted, but framing that information to influence an investment decision is not.

5. Prohibited Content

Users may not post content that:

Investment Promotion and Solicitation

  • Recommends, promotes, or urges others to invest in any offering through community features
  • Functions as a solicitation or attempts to influence investment decisions
  • Promotes, solicits, or seeks investment for any company, project, or opportunity that is not formally presented through an official offering on the platform
  • Attempts to raise capital, gauge investor interest, or direct users to invest in any business or venture
  • Uses community features to introduce, advertise, or discuss an investment opportunity in a promotional manner

For example, the following are not permitted:

  • “You should invest in this company.”
  • “We’re raising for our startup—message me if interested.”
  • “Looking for investors for my biotech company.”
  • “Check out our deal on another platform.”
  • “Would you invest if we launch this?” when used to gauge investor interest.

Advice and Misleading Content

  • Requests for investment recommendations or advice, such as “Should I invest?” or “Is this a good investment?”
  • Provides investment advice or recommendations
  • Contains false, misleading, deceptive, exaggerated, or unsubstantiated statements
  • Includes guarantees, projections, or predictions of investment performance or returns

Manipulation and Circumvention

  • Encourages or pressures others to invest through urgency, repetition, or coordinated activity
  • Engages in coordinated or repetitive activity that appears intended to promote an offering, regardless of affiliation
  • Attempts to circumvent platform communication rules, including relaying issuer communications outside official channels
  • Uses profile content or other community features to promote or solicit investment
  • Redirects discussions outside official channels for offering-related purposes

Platform Integrity and Safety

  • Includes hate speech or content promoting violence, discrimination, or harassment
  • Includes harassment, bullying, threats, or personal attacks
  • Contains obscene, sexually explicit, or graphic material
  • Impersonates issuers, representatives, or platform personnel
  • Discloses confidential, non-public, or personally identifiable information
  • Constitutes spam, excessive self-promotion, or unrelated commercial activity
  • Promotes or solicits external crowdfunding platforms, products, or services, or otherwise directs users to engage with investment opportunities outside the platform
  • Attempts to divert users away from the platform or materially interfere with platform operations
  • Violates applicable laws or regulations

Content may be restricted where, in context, it is reasonably likely to influence or encourage others to invest, even if framed as personal opinion.

The platform may consider the overall context, frequency, timing, and pattern of activity in determining whether content constitutes prohibited promotional or solicitation activity.

6. Issuer Participation and Updates

During an active crowdfunding campaign, the platform limits issuer communications to designated official communication channels, including the issuer’s offering page and authorized issuer update tools.

Issuers and their authorized representatives may publish official updates, which may appear in the Updates section and on the issuer’s offering page.

Such updates constitute issuer communications and are subject to applicable securities regulations.

During this time, the platform restricts issuers and their representatives from posting, commenting, or engaging in community features, including the Feed, Q&A sections, user profiles, or other user-generated areas, in an individual or personal capacity.

Community features may not be used to circumvent communication channel requirements.

7. No Endorsement or Investment Advice

The platform does not verify, endorse, or approve user-generated content.

All community content reflects individual user opinions only. Users must conduct their own independent due diligence and should not rely on community content as investment advice or due diligence.

Educational discussions are provided for informational purposes only and do not constitute investment advice.

8. Moderation and Enforcement

The platform may review and moderate content for compliance with these Guidelines, applicable laws, and regulatory requirements.

The platform may remove or restrict content that:

  • Violates these Guidelines
  • Is inconsistent with the intended purpose of community features
  • Creates legal, regulatory, or operational risk for the platform

Repeated or serious violations may result in suspension or termination of posting privileges.

Moderation is intended to enforce platform rules and regulatory obligations and does not reflect endorsement or suppression of any particular viewpoint.

9. Reporting Content

Users may report content they believe violates these Guidelines.

Reports are reviewed in accordance with internal moderation procedures. Submission of a report does not guarantee removal of content.

10. Updates to the Guidelines

These Community Content Guidelines may be updated from time to time. Continued use of community features constitutes acceptance of any updates.
